| Metropolitan Areas and Areas with Local Restrictions |

| Several of the Peugeot UK Selection Criteria include a provision that the requirements of the criterion will be subject to review by the Peugeot Franchise Validation Committee. |

| Metropolitan Areas |
 |
| These are defined within the Peugeot UK Network Plan as those major cities of the UK and their surrounding urban and suburban areas with a population of 500,000 or more. |
 |
| Areas with Local Restrictions |
 |
| These are defined as areas where there are natural or legal restrictions imposed on either the buildings or the environment of the contract site which prevent the contract holder from achieving compliance with the Peugeot UK Selection Criteria. For example, abnormally low planned volumes as a consequence of operating in an isolated market, or listed buildings, preservation orders, local government restrictions,etc. |

| EXISTENCE AND QUALIFICATIONS OF THE GENERAL MANAGER ON THE CONTRACT SITE |

| REQUIREMENT |
 |
| There must be a full time General Manager on the contract site who has either passed an assessment for new entrants or has acceptable positive experience in the Peugeot Network (or Parts Distribution and Logistics) in this function. |

| MINIMUM VALUE |
 |
| There must be a full time General Manager on the contract site who has either passed the Peugeot New General Manager Entrance Assessment, subject to the approval of the Peugeot Franchise Validation Committee,or has at least 6 months positive experience as a Peugeot General Manager in the last 24 months or has at least 6 months positive experience as a Parts Distribution and Logistics General Manager in the last 24 months. |

| Note: Where the Vehicle Distribution contract and/or the Authorised Repairer contract are applied for, in addition to the Parts Distribution contract, the General Manager requirements for each contract are inclusive and therefore all are satisfied by one General Manager. |

| EXISTENCE AND QUALIFICATIONS OF THE PARTS MANAGER ON THE CONTRACT SITE. |

| REQUIREMENT |
 |
| There must be a full time Parts Manager on the contract site who has either passed a Peugeot defined profile-based interview for new entrants or has acceptable positive experience in the Peugeot Network in this function. The Parts Manager must have decision-making power in terms of day-to-day parts activity. |

| MINIMUM VALUE |
 |
There must be a full time Parts Manager on the contract site who has either passed a profile-based interview, subject to the approval of the Peugeot Franchise Validation Committee,or has at least 6 months positive experience as a Peugeot Parts Manager in the last 24 months. Wherethe contract site plans to sell less than £160,000 of parts at invoice per annum across all brands, the Parts Manager may also be the General Manager. Where the contract site plans to sell more than £160,000 of parts at invoice
per annum across all brands, both a full time Parts Manager and full time General Manager are required (or equivalent in time spent). |

| Theremust be a team of trained parts staff in sufficient numbers and able to cover the functions of counter sales,customer advisor and field sales representative. |

| MINIMUM VALUE |
 |
| There must be a team of trained parts staff in sufficient numbers.There must be at least one full time parts person per £160,000 of planned Peugeot trade/workshop parts sales at cost per annum (or equivalent in time spent). |
