| Several of the Peugeot UK Selection Criteria include a provision that the requirements of the criterion will be subject to review by the Peugeot Franchise Validation Committee. |

| Metropolitan Areas |
 |
| These aredefined within the Peugeot UK Network Plan as those major cities of the UK and their surrounding urban and suburban areas with a population of 500,000 or more. |
 |
| Areas with Local Restrictions |
 |
| These are defined as areas where there are natural or legal restrictions imposed on either the buildings or the environment of the contract site which prevent the contract holder from achieving compliance with the Peugeot UK Selection Criteria. For example, abnormally low planned volumes as a consequence of operating in an isolated market, or listed buildings, preservation orders, local government restrictions,etc. |

| VM1 |

| REQUIREMENT |
 |
| The contract site/s must be dedicated to the distribution and or repair of vehicles, motorcycles, cycles and associated products and services. |
 |
| VM2 |
 |
| LOCATION,VISIBILITY AND ACCESSIBILITY. |

| REQUIREMENT |
 |
| The contract site should be well located,visible to passing customers and easy to access. |
 |
| MINIMUM VALUE |
 |
The contract site must be in an optimal location that corresponds to the results of a geomarketing study and to the trading area, be visible from the principal thoroughfare in the location and have easy access. The contract site must also have planning
permission to install the Peugeot Corporate Identity scheme including both primary and secondary signage. |

| The location, visibility and access requirements will be subject to review by the Peugeot Franchise Validation Committee. |

| VM3 |
 |
| OUTSIDE AND INSIDE APPEARANCE. |

| REQUIREMENT |
 |
The contract site must have at least the following:
• An identifiable new vehicle distributor façade.
• Customer parking spaces.
• Demonstrator parking spaces.
• New vehicle storage area. |
 |
| MINIMUM VALUE |
 |
| Façade: The part of the building façade dedicated to Peugeot must be at least 15 metres long by 2 metres high and represent at least 30% of the total façade if more than one brand is represented. |
 |
| Customer parking: There must be at least one customer parking space for every 10 new and used vehicles displayed across all brands. The customer parking bays, including traffic circulation space,must be at least 25m2 per space. |
 |
Note: Where the Parts Distribution contract and/or the Authorised Repairer contract are applied for, in addition to the Vehicle Distribution contract, the customer parking requirements for
eachcontract areexclusive and accumulative, although the physical provision of the spaces on the site can be grouped together. |

Demonstrator parking: The demonstrator parking bays, including traffic circulation space, must be at least 25m2 per space. The number of spaces must relate to the number of
demonstrators required,as published in the Peugeot Demonstrator programme. |

| New vehicle storage area: There must be at least enough pre-PDI storage area for an average of five days worth of Peugeot new vehicle registrations. The storage area must equate to at least 12.5m2 per vehicle. |
 |
| Note: Where a Peugeot Authorised Repairer contract is also applied for, the vehicle storage requirements for each contract are exclusive and accumulative, although the physical provision of the spaces on the site can be grouped together. In the case of vehicle storage requirements,the storage area may be separately located from the principle contract site/s. |

 |

 |
| There must be a minimum newvehicle showroom area dedicated to Peugeot that is correctly lit. |
 |
| MINIMUM VALUE |
 |
| e Peugeot dedicated part of the showroom must be at least 130m2. Lighting levels must be at least 750 lux, measured above display vehicles. |

| There must be a Peugeot new Light Commercial Vehicle display area either inside or outside the showroom. |

 |
| There must be a Peugeot new Light Commercial Vehicle display area for two vehicles of at least 50m2. Where situated inside the showroom,the space put aside for Light Commercial Vehicle display must be over and above the requirements of criterion VM4. |

| There must be a new vehicle preparation and accessory fitting area (or the existence of a sub-contract for such activities in accordance with Peugeot methods). |

| MINIMUM VALUE |
 |
| There must be either: |
 |
| • One preparation ramp per 300 planned Peugeot new vehicle registrations per annum, with a minimum combined ramp and traffic circulation area of 30m2 per ramp (20m2 including outside traffic circulation for drive-in ramps). |
 |
| • One Peugeot recommended diagnostic machine. |
 |
| • Adequate tools and equipment according to lists supplied by Peugeot and suppliers of Peugeot accessories. |
 |
| Or: |
 |
| • Asigned sub-contract with one or several Peugeot Authorised Repairers who meet the Selection Criterion above. |
 |
| Note: Where a Peugeot Authorised Repairer contract is also applied for, ramp capacity requirements for both contracts are exclusive and accumulative, although the physical provision of the ramps on the site can be grouped together. |

| The contract site must have the necessary office equipment and means of communication necessary for the distribution of new vehicles (telephone/fax lines,telephone switchboard, out of hours answer phone,internet access,e-mail). |
